Ruben Pazmino was an employee of Buena Vista Realty Group LLC, an Indiana limited liability company. From February 2008 through July 2008, law firm Bose McKinney & Evans LLP did legal work for Buena Vista at the request of Pazmino. On April 24, 2008, Buena Vista was administratively dissolved, a date after which Pazmino continued to act on behalf of Buena Vista, including requesting legal work from Bose. Pazmino was not aware of the administrative dissolution of Buena Vista. Neither Buena Vista nor Pazmino paid Bose for its services. In 2010, Bose filed a complaint against Buena Vista and Pazmino, alleging they had failed to pay for services rendered and seeking $12,580.09 plus interest from Buena Vista and $9,618.39 plus interest from Pazmino.
