Will Sukenik and Irvin Fine formed PDC Office Park as general partners. Under the partnership agreement, on the death of one partner, the other had thirty days to elect to continue the partnership.

Fine died, but Sukenik failed to take this step. A third party that owned a limited interest in PDC convinced a trial court that the partnership must be dissolved, and its assets liquidated.

Sukenik tried numerous delaying tactics to block this dissolution, including a breach of contract suit against the third party. Should an appeals court uphold the trial court’s order for dissolution of the general partnership? If so, why?
