Assignment You are the paralegal for Dime, Inc., (Dime) a retailer that operates a chain of "All 4 A Dollar" stores. You have been asked by your supervising attorney to draft a contract with a (regionally) famous singer/celebrity, Johnny Ringo, for promotional appearances and performances at three of Dime's stores. Ringo's career is definitely in decline since he has lately been doing these promotional shows for "budget" retailers across the southern United States more often. The stores are located in Tampa FL. Store 1 is the Hillsborough Ave. Store. Store 2 is the 34th Street Store. Store 3 is the Fletcher Store. Dime's state of incorporation is Delaware. Ringo's promotional office is in Georgia and Ringo lives full-time in Savannah, GA. Ringo's performance will include a small temporary stage and four electrical connections for the instruments and equipment. Dime wants to engage Ringo for three performances at each store, one at 10:00 a.m., one at 12:00 noon and one at 2:00 p.m. The performance dates will be September 7, 2022 for the Hillsborough Ave. store, September 14, 2022 for the 34th Street store and September 21, 2022 for the Fletcher store. Dime wants the entertainment to be family oriented and wholesome. Ringo, while rather eccentric, is a talented musician who plays multiple instruments and currently tours as an "acoustic guitarist / singer /song-writer" mixing his original songs with covers of popular rock, country, and soul songs. Ringo's early career involved a three-year stint at the lead singer of "Migraine" a death metal-electronic-gangster rap band. Ringo suffered a well-publicized mental breakdown in 2009 due to his divorce, floundering career, and substance abuse. Ringo states that he hasn't done drugs in over 9 years but still drinks socially. In 2010, Ringo was pulled over for DUI and his passenger was arrested for possession of cocaine. Ringo served 4 years probation for the DUI (but was not indicted on the cocaine charges) without violation or incident. Dime will pay Ringo $5000 for each day of performance. Dime will make a $5000 deposit with Ringo's office upon signing of the contract. Ringo would like the following items provided for him in a private area. 4 black permanent markers (for autographs), vegan cheese and Saltine Crackers, Oreos, Flint-stone chewable vitamins, Nesquik, dried cranberries, a 6-pack of
Diet Coke (not Pepsi), two turkey club sandwiches, power bars, and Full-Fat Vanilla Soy Milk Your assignment is to draft a contract that fairly accomplishes what Dime wants and protects your client's interests. Ringo's attorneys, Dewey, Cheetham, and Howe, L.L.P., have prepared a boilerplate contract that exonerates Ringo from virtually every possible problem that could occur before, during and after the performance. Under that contract Ringo also gets paid even if he is ill, indisposed or otherwise unavailable and is not obligated to provide any back up entertainment. The managing partner at the firm is related to Ringo so they typically provide a high level of legal service at low cost to Ringo, and they are more than willing to litigate to enforce the provisions of the contract. We will, however, assume that you have prevailed in the negotiations (because of Ringo's relatively weak bargaining position given the state of his career) and that your contract is the basis of the relationship between Dime and Ringo. Your contract should be at least two pages in length but may run as long as 5 pages (maximum).
