Electranta is a power company owned by the Colombian government. Electranta became involved in a dispute with TermoRio, a U.S. company doing business in Colombia. The dispute was arbitrated consistent with International Chamber of Commerce rules, and TermoRio was awarded US$60 million in damages.

However, TermoRio could not convince the Colombian courts to enforce the award, and the government of Colombia refused to pay. TermoRio then filed suit in the United  tates, attempting to have a federal court declare the acts of the Colombia courts unlawful and recognize the arbitration award.
