Gene and Martha Jannusch owned a food concession business. They believed they had an agreement to sell it to Lindsey and Louann Naffziger. When the Naffzigers backed out, the Jannuschs sued. The trial court ruled that there had been no meeting of the minds and hence no contract. The Jannuschs appealed.
