Ernst & Young, LLP is the independent public accountant for AMR Corporation, the parent company of American Airlines and American Eagle. In February 2013 AMR and US Airways Group announced the two companies would merge to form the largest airline in the world. In AMR’s 2012 annual report, Ernst & Young gave AMR a “clean opinion,” indicating that its financial statements were fairly presented. In the 2012 auditors’ report for AMR, however, Ernst & Young notes:

Discuss why Ernst & Young would issue a “clean opinion” on the financial statements of AMR Corporation given its many doubts about the firm’s ability to “continue as a going concern.”

The accompanying consolidated financial statements have been prepared assuming that the Company will continue as a going concern. As discussed in Note 1 to the consolidated financial statements, the Company's bankruptcy filing raises substantial doubt about the Company's ability to continue as a going concern. Management's plans concerning these matters are described in Note 1. The consolidated financial statements do not include adjustments that might result from the outcome of this uncertainty.
