Zack signs an agreement with Art in which Zack assumes Art’s liability for all partnership obligations. After Art leaves the partnership, Alphabet Builders falls behind in payments to its creditors, including the following: (a) The bank from which Art obtained a loan in the name of the partnership prior to his leaving the partnership. Art pocketed the money and used it for personal investments. Art did not disclose the loan to his partners or to Zack; (b) The creditor who leases office equipment to Alphabet Builders. The lease agreement predates the time Art left the partnership; (c) Subcontractors owed money on contracts entered into after Art left and Zack entered the partnership.
