Project Background

Acme Corporation is an international clothing company that markets its brand in many ways, including the use of Social Influencers (SI) (commonly found on Instagram, Facebook, YouTube, TikTok and other online social networks) for brand recognition and sales. Due to the recent success in Social Influencer traction and sales growth, the Acme Corporations Legal and Marketing Departments are standardizing the contracting process for Influencer Agreements. The Influencer Agreements take on two different styles, one that is standard and pre-defined messaging by Acme Corporation. The other Influencer Agreement seeks SI-defined messaging and story for the product, allowing the SI to create a more genuine and compelling advertisement.

Client Process Narrative

Today, the Legal department has 2 standard Influencer Agreements (Acme Defined and SI Defined) available and stored in a sharepoint site for anyone in Marketing to access. Without controls in place for the appropriate use of either Influencer Agreement type, and without controls for review and approvals, the messaging about Acme Corp across their existing SI community has been unmanageable and inconsistent. Both the Marketing leadership and Legal leadership teams recognize the need for a standard process with technology, contract standards, approvals and signature.

Marketing team agents start the contracting process by using an Influencer Agreement and populating information including Influencer legal name, online persona name/account, online platform(s), Acme product and time period of story/content launch. For Acme-defined messaging, the scope of the messaging/story must also be pre-defined in Schedule A to the Influencer Contract. Any deviations from standard messaging must be reviewed and approved by the Acme Marketing Team Agent. Any deviations or changes to the Influencer agreement must also be approved by Legal.

For Influencer defined messaging and story, that needs to be obtained directly from the SI who should define the story in Schedule A to the Influencer Contract. Redlines/edits back and forth between Acme Marketing Team Agent and the SI may happen, and any revisions from SI need to be reviewed and approved by Marketing Team Agent and Legal. If necessary, a Marketing Team Agent may escalate review to the Marketing Team Director for final approval. Once Acme Marketing, Acme Legal and the SI have agreed to the terms in the Influencer Contract, the Marketing Team Agent will submit the final Influencer contract for electronic signature.
