The city of Calgary enacted two by$-$laws without notice to those affected. The by$-$laws intended to promote the Calgary Stampede by compelling all Calgary businesses to participate in several promotional activities. Under one by$-$law, all businesses in Calgary were required to accept special Stampede currency $($old style paper money$)$ created and distributed by the city. The money was to act as supplemental currency during the Stampede and for the two$-$week periods both before and after Stampede. The second by$-$law required that all Calgary businesses advertise their wares or services using a Stampede based advertising campaign during the same time period.

Sarah had just entered into a contract with an advertising agency for a summer$-$long marketing campaign that was not at all based on a Stampede theme and she refused to comply with both, the currency and advertising, by$-$laws. The city, in response to Sarah's non$-$compliance attempted to get a court order compelling Sarah to comply with both by$-$laws.
