Each of the Parties warrants and represents for itself that each has been represented by legal counsel of their own choice in the negotiation and joint preparation of this Agreement, has received advice from legal counsel in connection with this Agreement and is fully aware of this Agreement's provisions and legal effect, that all agreements and understandings between the Parties are embodied and expressed in this Agreement, and that each of the Parties enters into this Agreement freely, without coercion, and based on each of the Parties' own judgement and not in reliance on any representations or promises made by any of the other Parties, apart form those expressly set forth in this Agreement
