2. Mel and Sue are directors of Bakeoff PLC. L b) d) e) f) Remember to regularly save your work Sheet 4 of 4 Module Code: LAWG2013 Referred/Deferred A shareholder claims that Sue was not properly appointed to being a director, and wants to know if her appointment can be challenged in court. An employee of a subsidiary company of Bakeoff PLC in France has been found to have made payments to a client of Bakeoff to ensure that orders continue. Mel and Sue know that the payments have not been approved by anyone at Bakeoff PLC, but want to know if there could be any consequences for the company. Mel knows that the annual results for Bakeoff PLC are going to be exceptionally good, and that this will cause the shares price to rise. She tells her friend Paul that this would be a good time to buy shares in the company. Sue is visiting a site owned by Bakeoff PLC when she is approached by the owner of the land next door and told that it is for sale. Sue realises the land would be good for building houses, not something Bakeoff PLC does, and wants to know whether she could buy the land. Bakeoff PLC is owed £500 by Pies Ltd. for goods it has supplied. If Pies Ltd. was insolvent when it ordered the goods, would the director of Pies Ltd. who ordered the goods have done anything illegal? Mel decides to improve profits of the company by cheating environmental emissions standards. Advise whether the company could be criminally liable for this wrongdoing. 2.
