Each pair from each group will choose a role (a different role for each pair). Each pair will play the role of executives for one of these companies:

Mobile Transport Toronto Ltd.: With the Pandemic coming to an end, a bike sharing company, Mobile Transport, based in Toronto is preparing to replace its fleet of bikes. They were either damaged or misplaced throughout the last two years. Their previous fleet consisted of 7000 bicycles. Bike sharing is essentially the public shared use of a bicycle fleet. In Toronto, people mainly use the service for travel within less than three kilometers. Mobile Transport wants to enter in a contract with E-bike Services, a supplier based in The Netherlands to replace its fleet, in order to meet the demand for Summer/Fall 2024. If this contract is successful, Mobile Transport will enter into a permanent relationship with E-biker Services Amsterdam to supply bikes leading up to World Cup 2026 which will be held across cities in Canada.

E-bike Services Amsterdam Ltd.: is a Dutch company. They were founded in 1912. They are a manufacturer and supplier of fully station-less bicycle-sharing system. The company has the capacity to produce 5,000 bikes per day. The company maintains a rigid quality control system, to ensure it meets all its safety and quality control guarantees. The bikes they offer weighs between 4kg to 23kg. It has an adjustable seat, as well as a basket, and disc brakes at the rear for greater control. The bikes also use cold-resistant batteries, and tires with deeper tread which are compatible for icier roads. The company hopes to become the premier supplier of fully station-less bikes in Canada and North America. E-Bikes system enables the rider to download a propriety APP to their cell phones, pay the deposit and then rent one of their bikes at a low price. The APP enables the user to open the lock on the bike by scanning a QR code, which is engraved on the bicycle.

ASSIGNMENT: You will negotiate a term sheet for a contract for the sale of bikes by E-bike Services Amsterdam.

Prepare on your own in pairs (in advance) for the negotiation of your contract by considering the elements and terms that you would like to have in your Term Sheet;

Then, meet with your group (ensure each companys executives are represented) to negotiate and create a term sheet together for the sale transaction.

PART A Term Sheet - Using the attached template, list and explain ten (10) elements (or terms) that you have agreed to include in your term sheet (and ultimately in the final contract) with the other company;

For each term, provide details of the term (what you have agreed to, specifically) and the reason for including that term. Be as specific as possible. (2 marks for each term).

For example, you may want to address payment terms, currency, shipping and delivery arrangements, and dispute resolution. You may improvise or add facts if needed.

Do not include the example provided in the template as one of your 10 terms.

Do not include terms that do not require any negotiation, like the names and addresses of the parties.

PART B Reflection - After you have created the term sheet as a group, answer the reflection questions in Part B in pairs. You will be marked as pairs on this portion of the assignment.
