Among the factors you consider, include the manner in which each entity is taxed, and the potential legal liability that can result from each form. Be sure to consider all legal business forms covered in the course materials, including differentiating types of partnership and corporate forms.
   
• Analyze the ease or complexity of formation and operation of the various legal forms, including filing, registration, and reporting requirements.
• Describe the different types of agents that exist in the law relative to business entities, and describe the manner in which each form of agency might be formed, including unintentionally.
• Analyze the relationship of agents and principals and describe the duties owed by each to the other.
• Demonstrate the manner and ways in which the actions of agents can cause liability to their principal through their actions with third parties.
• Consider the ethical issues present in agency relationships, including the fiduciary standard and duty of loyalty.
