Question:
In Business Associations, and more specifically in general partnerships, it appears that under the UPA, the dissociation of a partner causes the dissolution of the partnership. However, under RUPA such dissociation does not. Then, I don't understand why the dissolution rule for general partnerships says that a voluntary dissolution, among others, occurs when all partners agree, or in an at-will partnership, when one party withdraws. Thus, the question is, does dissociation cause dissolution of the partnership under RUPA? or how does it work? How different is this for limited partnerships and LLPs?
