Olivia's Beans, Inc. is a Colorado corporation, founded and operated by Olivia Ralston. The company roasts and sells responsibly sourced coffee beans to local businesses. The company entered a contract with Earth Foods, a supermarket chain, to provide its Columbian blend. The parties signed a contract giving Earth Foods a volume discount committing Olivia's Beans to provide 100,000 total pounds of the Columbian blend at $7.05 per pound. The contracts require bimonthly shipments of 10,000 pounds. During the negotiating period, Olivia's Beans contracted with Columbian farmers' co-ops directly to cut costs by avoiding the intermediaries. The best bid was received from Federacion de Cafeteros Pequenos de Colombia (FCPC). On August 12, 2021, Olivia's Beans executed the contract with Earth Foods. After this contract was executed, Ms. Ralston finalized the contract with FCPC at $6.50 per pound. However, FCPC dissolved the co-op before the contract could be fulfilled and Olivia's Beans has not been able to find a cost equivalent substitute supplier. Olivia's Beans is seeking a legal means to excuse itself from that contract because Olivia's Beans has unexpectedly lost its source of supply, and the contract is now unprofitable to perform.
