Governing boards are responsible for establishing the organization vision, mission and purpose; creating a strategic plan; providing financial oversight; recruiting, monitoring, and evaluating the chief executive; strengthening the organizations programs and services, and overseeing legal compliance and ethical integrity (Brown et al., 2025)

In particular, I would be looking for candidates who possess expertise in areas such as healthcare administration, finance, law, and ethics. Board members with financial expertise will be crucial in overseeing budgets, funding, and investments, while those with legal and regulatory knowledge can help ensure compliance with healthcare laws and uphold the organization's integrity. Experience in healthcare operations or clinical practice will also be valuable, as it provides insight into day-to-day challenges and opportunities.

Bringing behavioral characteristics to this discussion provides a new theoretical conceptualization of what motivates executives to act in the best interest of shareholders when they serve as board members (Masoud & Skaggs, 2024).
