Hypothetical Case Study: Abba v. Zhang and Zook Zhang and Zook form a limited partnership with Zhang as the general partner and Zook as the limited partner. Zook puts up $15,000. Zhang contributes some office equipment that he owns. They properly file a certificate of limited partnership and begin business. One month later, Zhang becomes ill. Instead of hiring someone to manage the business, Zook takes over complete management himself. While Zook is in control, he contracts with Abba for a large sum of money. Zhang returns to work. Because of other commitments, the Abba contract is breached. Abba contends that he can hold Zhang and Zook personally liable if the amount owed him cannot be satisfied out of the assets of the limited partnership. Discuss this contention. Decide the case. How to Brief a Case In order to better analyze case problems and understand court decisions, students can use a method of case analysis called case briefing. The standard procedure is listed below, as well as in the appendix of your textbook. After reading a published court opinion, list: 1. CITATION. This is the full citation including the name of the case, the date it was decided, and the court that decided it. (If your assignment is a fictional case, you may name it whatever you wish.) 2. FACTS. Briefly indicate the reasons for the lawsuit, the identity and arguments of the plaintiffs and defendants respectively, and the lower court's decision.
