Walter, a personal trainer at a gym in Winnipeg agreed to refer every client to Saul, a certified life-coach.Walter and Saul wrote out the following terms on a scrap piece of paper.Since both Walter and Saul were severely sleep deprived, and shaking from the 12 red bulls they each consumed (total 24 consumed), the writing is arguably illegible.From what could be deciphered, it indicated, "I Walter, agree to refer all my clients, past, present, and future, to Saul, in exchange for a monetary amount to be determined".Both signed the paper.

Being in a delirious state, both Walter and Saul laughed way too hard over their poor attempt at drafting a contract, and went back to studying.There were no further discussions - focus was back onto surviving exams.

Walter's first shift, after the agreement was made, was on Saturday December 22nd.During his shift he contacted all clients, past and present, to refer them to Saul.

On December 26th, Walter referred another 2 clients to Saul.In return, Saul sent Waltera fruit bouquet.Despite his building frustration, on December 29th, Walter referred Saul another client.Later that day, Saul brought Walter some protein powder sample packs that Vita Health had been handing out for free.

Annoyed over the perceived benefit in-balance, on December 31st, Walter started referring clients to Jesse's Life-Coaching services.Seven clients have been referred thus far.

Saul has now sued for breach of contract.
