Scarlett & Sofia's business nettoyer les pattes ("NLP") is doing incredibly well and they have leased a small premises in Parramatta. The new premises offers them increased storage space.
On 1 Dec 2022, with the extra storage space, they telephone Yeti's Animal Products ('YAP') and order 1000 x 500 ml bottles of "Willows Washing" a tender shampoo and conditioner which is "soft and gentle for precious cats" and transfer the agreed $2500 to YAP.
On 8 Dec 2022, they contact Mee & Ow ('MEEOW') to order 20 x boxes of "Flee Fleas" a flea treatment. Further, the order stipulates that each box must contain 24 bottles (6 rows of x 4) due to the now cramped storage space. They then transfer the agreed $1000 to MEEOW.
On 15 Dec at 10 am the goods arrive from YAP and after inspecting the goods discover that YAP delivered 1008 bottles of the shampoo. Sofia's Shampoo Supplies did not invoice her for the extra 8 bottles. Scarlett immediately rejected the order because in her mind it did not meet the exact contract requirements.
Later that afternoon the goods arrive from MEEOW and inspecting the goods they discover that MEEOW delivered 30 boxes of 16 bottles (2 x 8). Scarlett immediately rejected the order because in her mind it did not meet the exact contract requirements.
During the week Scarlett & Sofia receive letters from YAP's solicitors and MEEOW's solicitors both writing to Scarlett & Sofia. Each letter states that unless they receive the order, they will sue them for breach of contract.
