Imagine you and your group members are officers in Owl & Fox Films, Inc., a corporation specializing in film production. In groups, your project is to draft a corporate governance policy for Owl & Fox Films, Inc. A corporate governance policy puts procedures and policies in place to keep the company on track and operating efficiently. Having these procedures in place decreases the likelihood of errors or fraud and boosts profits.

Be sure to address the following topics as part of your policy: (i) roles of board members, officers, and shareholders, (ii) fiduciary duties of the board (duty of care and duty of loyalty), and (iii) how conflicts of interest will be addressed.
