Vicky Vendor owned a bakery / caf in a charming ski village which she was anxious to sell.In late May of 2019, after a busy ski season and just prior the caf's fiscal year end of June 30, 2019, Gurpreet Tan visited Vicky's caf and discussed the possible purchase of the business from Vicky.During those discussions, Vicky stated that, based on the growing demand for ski vacations in the region and the corresponding increase of pedestrian traffic in the ski village, she was sure that sales for the caf's 2019/2020 fiscal year would exceed $225,000.She also indicated that sales for the 2018/2019 fiscal year were more than $200,000.Gurpreet was impressed with these figures and offered to purchase Vicky's bakery / caf business for $400,000.The sale was completed 5 days later (on May 29, 2019) and was documented with a brief written agreement which did not include anything about past sales figures.In October 2019, Gurpreet had the 2018/2019 financial statements for the caf prepared and actual sales for the 2018/2019 fiscal year were $180,000.In addition, Gurpreet knew that the 2019/2020 sales to date were 5% below sales for the same period a year earlier.Gurpreet confronted Vicky with these new figures in October 2019, and Vicky was evasive and refused to accept responsibility, saying only that the written agreement made no mention of any sales figures.Gurpreet now asks you the following questions:
