Brandon Well, first tell us what the dispute is about. Cherrial My supervising partner made a mistake on a lease he drafted a few years ago. Brandon The lease involves a number of options--meaning rights to renew the lease. In this case our client, the tenant, should have a few three year options to renew. Brandon So that means they have the right to continue leasing the space at a pre-determined rate for three years and they have three of those options. Cherrial Right. You can see the clause in the contract. Here, I'll send it to you guys. Brandon Get it? Brandon Yeah. And I see the clause. Oh boy--it says that your client needs landlord approval in order to renew! Cherrial Yeah! That's the problem. My supervising partner didn't mean that to be in there, because now the landlord is refusing to approve the option. So now we need to sue to make sure we get the options. Brandon Okay, so you're not sure what court to file in? Cherrial Yeah Brandon Well, you need to make sure you start your lawsuit in a court of primary jurisdiction Subject matter jurisdiction original jurisdiction appellate jurisdiction 1. Lease Term. A. Term. The initial term of this Lease is for three (3) years, commencing on August 1, 2017 (the Lease Commencement Date) and ending on July 30, 2020 (the "Initial Term), unless further renewed as set forth herein. B. Renewal Term. LESSEE has the option to renew this Lease upon the approval of LESSOR for three (3) consecutive renewal terms consisting of three (3) years each (the First Renewal Term, the Second Renewal Term", and the Third Renewal Term, collectively known as the Renewal Term). The Initial Term and the Renewal Term are collectively known as the Lease Term. For any Renewal Term, LESSEE shall notify the LESSOR in writing no later than six (6) months prior to the expiration of the Initial Term or the then-current Renewal Term, as applicable, of its intent to execute an additional Renewal Term. 2. Rent. A. Base Rent. The Base Rent for the Premises during the Initial Term is One Hundred Thirty- one Thousand Three Hundred fifty ($131,350.00). Beginning on the Rent Commencement Date (as defined below), LESSEE shall pay the Base Rent in monthly installments, in the amounts set forth in Table 1, below. Base Rent shall be paid on the first (1st) day of each month and LESSEE shall pay the Base Rent to LESSOR at 940 S Clarizz Blvd #25, Bloomington, Indiana, 47401 or to any such other address as LESSOR may designate in writing to LESSEE
