Omnicare was a company that sold medication to nursing homes. When it made these sales, it often received rebates from drug companies. In its registration statement under the 1933 Act, the company stated that the rebates were legal. Ultimately, however, some states sued drug companies for making these payments, alleging that they were really illegal bribes. The drug companies then stopped making the payments. Investors sued Omnicare on the grounds that its statement in the registration statement was false and material. Was Omnicare liable under §11 of the 1933 Act?
