Julio Garcia Aguilar, M.D., Joanne E. Mortimer, M.D., and Michael W. Lew, M.D., are physicians and shareholders of California Cancer Specialists Medical Group, Inc., a professional corporation doing business as City of Hope Medical Group. This group had a relationship with a local hospital whereby any administrative duties associated with the medical group were performed by hospital employees. In 1999, the group looked for an independent company to perform its administrative and managerial tasks. It ended up hiring individuals to perform these tasks. In January 2011, when the contract between the medical group and the hospital was due to expire, both parties participated in discussions about a new contract. The hospital claimed that it should have coequal control over the administrative duties associated with the medical group. Is the hospital right in asserting that it should have coequal control?
