Robert Lea instructed Dick Guffey, an insurance agent, to secure property insurance coverage for his apartment buildings. Using the standard insurance industry form, Guffey prepared an application and submitted it to Independent Fire Insurance Company. The company’s underwriter mailed Guffey a quote. Her quotation letter stated: “If you would like to have this policy issued, please forward written confirmation.” In a telephone conversation, Guffey told the underwriter that the premiums were too high. 

She then orally provided Guffey with a revised quotation, which Guffey said he would discuss with Lea. There was no further contact between Guffey and the underwriter until two months later when Guffey submitted, on behalf of Lea, a claim for fire damage to one of Lea’s apartment buildings.
