Nancy and Bob Brown ran a successful locksmithing and security business in Perth, Ontario, a town of about 6000 people, for 17 years. They were wellknown and highly respected in the community. The Browns were thinking of retiring and decided to sell their company to Vladimir Markovic, who had just moved to Perth. As a term of the sale, the Browns signed a non-compete agreement with Markovic that prohibited them from operating a similar business within 100 kilometres of Perth for 10 years. After being out of the business for a year, however, the Browns set up a new business in Ottawa, about 85 kilometres away, selling locksmithing and security services. Markovic wants to know if the noncompete clause can be enforced.
