Anne, Brigit and Tom form Lean Oranges Pty Ltd and are the only shareholders and directors of the business. Tom holds 24% of the shares Anne and Brigit (who are sisters) hold 38% each. The relationship between Tom and his friends broke down and he has moved to a remote part of country QLD. He is no longer active in the management of the company. Anne and Brigit called a general meeting to be held in Anne's boat house in a difficult to access part of the Shoalhaven River at 6pm on Anzac Day. At this meeting, they propose a resolution to remove Tom from the board. The notice of the meeting was sent to Tom by the Board. It includes 'Resolution 3: removal of Tom as director and replace this position with Ben. Ben is Brigit's boyfriend. The notice was delayed in the post and did not reach Tom until the 3 days before Anzac Day. Tom was unable to book a plane for travel to the meeting and could not attend.
