QUESTION ONE

Untong Sdn. Bhd. (USB), owned by Mr. Tong is a company that operates vehicles rental business. The company is managed by Siti and Ali who also act as agents for the company. Due to overwhelming response from clients, the company needs to do a full maintenance of its vehicles including changing the spare parts and tires.

Siti was instructed by Mr. Tong to purchase new tires for all vehicles belonging to the company. Siti however, is of the opinion that the company should buy more vehicles to increase the number of vehicles available. Therefore, on 12 January 2018, Siti signed a contract to purchase a car and a van from Deras Laju Sdn. Bhd. (DLSB). On 14 January 2018, DLSB decided to cancel the contract after knowing that Siti has no power to purchase the vehicles. On 15 January 2018, Siti presented an invoice for the purchase of the car and van to Mr. Tong. Mr. Tong gave a cheque amounting to RM275,000.00 to pay for the vehicles. He also refused to cancel the contract as claimed by DLSB.

A week later, Mr. Tong ordered Ali to buy some spare parts for the companys vehicles amounting to RM70,000.00. Ali submitted an order to Jaya Sdn Bhd (JSB) and the agreed price was RM75,000.00. Upon receipt of invoice from JSB, Mr. Tong saw that Alis name was stated in the order form. Mr Tong refused to continue with the contract on the grounds that it was not made by USB.
