Delulu Sdn. Bhd. buys a piece of land at Damansara from Zaara. The sale and purchase is authorized at a board meeting of Delulu Sdn. Bhd. The board meeting is attended by Yong, Tau and Foo and three other non-executive directors. It is later brought to Delulu's attention that Foo's appointment as a director is invalid due to the non-compliance of notice of the general meeting in which Foo is appointed. Thus Delulu Sdn.
