Case 9.7 Indemnification William G. Young was a director of Pool Builders Supply, Inc. (Pool Builders). Pool Builders experienced financial difficulties and was forced to file for bankruptcy. Eddie Lawson was appointed the receiver for the creditors of the corporation. Lawson believed that Young had mismanaged the corporation. Lawson filed a suit against Young and Pool Builders, alleging that Young had used Pool Builders personally to obtain money, goods, and property from creditors on the credit of the corporation. Lawson's suit also alleged that Young had attempted to convert corporate assets for his own use. Young defended the suit for himself and the corporation. At trial, the judge found insufficient evi- dence to support Lawson's charges, and the suit was dismissed.
