kelly owns a small retail store in vancouver and employs 8 salespeople. In june of 2002, she held a staff meeting and advised the employees that, due to significant increase in competition in the industry, she was faced with having to make some serious changes. She assured everyone that she was committed to not laying anyone off, but said that she would require some flexibility from the employees. Mark, one of the salespeople, was very concerned and contacted the retail employees union after the meeting for unionization information.

On sept 4,2020, Mark dropped a union pamphlet by mistake on the floor., and Kelly saw it. When asked by Kelly, Mark said that the pamphlet was "nothing- just something to think about." A few days later Kelly called Mark into her office and said " Of course, you have every right to join a union, and I will remain neutral about it. But you have to know Mark that, if the union comes here, I would have to close down the store".

On sept 28,2002, Kelly posted the following notice on the staff board :

Following up on our meeting in June 2002, I regret to advise that sales revenue are much lower than expected die to increased competition. While I have considered closing the business, I have decided not to do so because of the continued support and loyalty of you, my employees. However, I find it necessary to implement a temporary reduction of 10 percent in everyone's pay, effective october 1, 2002 untill the situation improves.

After notice was posted, Mark and co-workers went to REU office and signed membership cards. On sept 30 2002 the REU applied applied to the bc labour relation board for the certification of the salesperson at the store. on oct 1, 2002 kelly implemented the reduction in pay.
