Ghassani is the managing director of Estates Ltd., a company engaged in the business of property development. Andrewn is a director of freeholds ltd. a company which is also engaged in property development. Andrews contacts Ghassani with the view to the two companies enteringa a jouint venture to develop a holiday resort, the Club Westernport, and to sell it at a profit. Ashort time after the commencement of negatiations, Andrews intorms Ghassani that Freeholds Ltd.is no longer prepared to enter the venture with Estate Ltd., but that it would be willing to proceed with the project if Ghansani would join in the project personally, in place of Estates Ltd.

Ghassani, who has not told Estates Ltd. that the negotiations were taking place, enters an agreement personally with Freeholds Ltd. under which the Cub is developed and sold at a substantial profit. Ghassani retains his share of the profit for his own use and benefit.
