Laredo Logistics, LLC was hired by Mexico Productos, S.A. de C.V., a Mexican manufacturer of pottery and household products, to arrange transportation of Mexico Productos products from Laredo, Texas to Chicago, Illinois. On the first three loads, Mexico Productos timely paid its invoices for the services provided by Laredo Logistics.

Laredo Logistics subcontracted with Fast Trucks, LLC to transport the products from Laredo to Chicago. Laredo Logistics charged Mexico Productos $2,100.00 per load, which included Laredo Logistics $600 fee per load, and $1,500.00 paid to Fast Trucks for its services. This arrangement remained for approximately 7 months with approximately 150 loads transported in that 7-month window of time.

Mexico Productos paid Laredo Logistics for each of the loads. Carlos Flores, the owner of Laredo Logistics, was having financial troubles, so he did not pay Fast Truck for all the loads transported. When Fast Trucks asked Laredo Logistics why its invoices more than $75,000.00 had not been paid to date, Carlos Flores placed the blame on Mexico Products, claiming they were a slow pay client.
