2. Central Properties, Inc., entered into a contract with Westside , a real estate development company, whereby Central Properties purchased sixty acres of land from Westside. The contract idid not include the water and sewage system on the property. Westside wanted to sell the sewage system and over the course of three months exchanged letters with Central asking whether it wished to purchase the water and sewage system for $12,000 payable within 30 days of the signing of a contract. Central Properties replied that they did want to purchase the systems but requested different terms for the price and the payment date. Westside sent large backhoes and dump trucks to remove the water and sewage system from Centrals new property. Central stopped the removal and now claims that they had a contract with Westside for the water and sewage system. Westside states that no contract was formed. Discuss who is right and why.
