The partnership agreement contains, among other provisions, the following: No partner shall reduce the standard real estate commission charged (6%) without the consent of at least one other partner, Baker showed a magnificent $950,000 ranch estate, listed for over a year with the firm by Dorothy Dee, to numerous prospective purchasers. The firm's exclusive listing had recently expired and Baker was afraid the firm would lose the sale. Dee's price was firm, and she had repeatedly refused to negotiate with interested parties or accept an offer below $950,000. The most recent prospective buyer offered $930,000 but would not budge from that price. Baker, fearing that a rival broker would obtain a buyer and cause him to lose the commission, agreed to lower the commission from $57,000 (6% of the sale price) to $37,000 which was acceptable to Dee. Baker did this without the consent of either of the other partners. While he was returning from showing the property for the third time, Baker decided to stop at Shady Grove Retirement Center (about five miles south of his office) to visit his aged aunt. While he was returning from that visit (about two hours later), Baker ran a stop sign and crashed into Dubious' car, damaging it and injuring Dubious. 1.
