Hello I need help with an existing client Denver Renovations limited. Yesterday i had a meeting with Lucas the managing director and his wife Faye the finance director they are husband and wife. It recently came to light that Sonia one of the directors of the company met with Fred the chief executive of Manx a longstanding client of Denver and agreed to do some work for him in her personal capacity. Fred paid her $5000. Sonia said that Fred would not have given the work to Denver as Denver only deals with projects costing $10,000and more. pierre a shareholder is unhappy with this and wants Sonia dismissed as a director.

What directors duties may have been breached and want remedies are available to Denver? Can Sonia be dismissed as a director?
