You have been given the following fact situation by the senior partner in your firm, John F. Cheatham:
Case: Dark Knight Inc., a corporation formed and incorporated in Florida, provides remodeling and construction services to consumers. The corporation is a small one, with moderate assets and only five shareholders, all of whom serve as directors and officers. The president of the corporation is Benjamin Aflac. Because the individuals involved in the corporation are usually so busy providing construction services, they often forget to maintain the corporation and to file various required documents with Florida's Secretary of State. In fact, the corporation failed to file its annual report with the Secretary of State for 2019 and was notified by the Secretary of State that the corporation was "administratively dissolved," effective October 1st.
One of Dark Knight's customers, Robert Patterson, discovered that the corporation had been administratively dissolved. He is now contending that he need not pay the corporation for the services it provided to him on November 10th because the corporation was invalid at that time.
