Jodi is a designer at Rag & Bone. Her friend Sandra is 52 and often complains about the office wear options available to her. They decide to produce a capsule collection of office attire for petites. Excited about this new venture, their friend Phoebe joins them as Chief Marketing Officer. Another friend, Dara leaves her job at a bank to come on board as CEO. The group forms a limited partnership, Little But Fierce, LP (LBF) and sign a written partnership agreement. Jodi leaves her job at Rag & Bone to focus on the collection full-time. The partnership agreement provides that Jodi, Phoebe and Dara are general partners, while Victoria and Sandra are silent partners. They begin to sell the collection online.

1. LBF hires Brett as a full-time employee. One of Bretts duties is to enter into agreements to order office supplies. Noticing a number of open accounts receivable, Dara leaves Brett a written memo to not purchase any office supplies until further notice. Brett does not read the memo. Later that day, Brett enters into a written contract, on LBF letterhead, to purchase printer paper, on a recurring monthly basis, from Shawn, who has been supplying paper to LBF since its inception. When Dara learns of the contract, she informs Shawn that Brett was not authorized to enter into the contract; therefore, LBF is not going to pay for the paper. Against whom may Shawn enforce the contract?
