Bayer Corporation originally sold its termiticide to the distributors of its other pesticide products. One of those distributors—Univar USA—then resold the products to pest management professionals (PMPs) who provide pest control services to homeowners and other individual customers. Bayer began selling its termiticide to its original distributors through an agency agreement. 

Bayer would retain title to its termiticide until it was sold to a PMP. In addition, Bayer would set the retail prices and the distributors would receive a fixed commission for each sale. Ultimately, Valuepest filed a lawsuit against Bayer alleging vertical price fixing. Should the court dismiss this antitrust lawsuit?
